Welcome to AptoCode. These Terms of Service ("Terms") govern your access to and use of the website at aptocode.com and all services provided by Aptocode LLC ("we," "us," or "our"). By accessing or using our services, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing our website or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use our services. We reserve the right to update these Terms at any time, and your continued use of our services constitutes acceptance of any changes.

2. Services Description

AptoCode provides the following services:

  • Custom Website Development: Design and development of websites and web applications tailored to your business needs.
  • AI Chat Solutions: Embeddable AI-powered chat widgets and conversational assistants for customer engagement.
  • Domain Registration: Assistance with domain name registration and DNS management.
  • Web Templates: Pre-built website templates for various industries that can be customized to your brand.
  • Hosting and Maintenance: Ongoing hosting, updates, and technical support for deployed projects.

The specific scope, deliverables, and timeline for any project will be outlined in a separate proposal or agreement between you and AptoCode.

3. User Accounts and Responsibilities

Some of our services may require you to create an account. When you do, you agree to:

  • Provide accurate, current, and complete information during registration.
  • Keep your account credentials secure and confidential.
  • Notify us immediately of any unauthorized access to your account.
  • Accept responsibility for all activity that occurs under your account.

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, abusive, or illegal activity.

4. Payment Terms

Payment terms are established on a per-project or per-service basis:

  • One-Time Fees: Custom development projects may require an upfront deposit (typically 50%) with the remaining balance due upon delivery or at agreed milestones.
  • Recurring Subscriptions: Hosting, maintenance, AI chat, and certain SaaS products are billed on a monthly or annual cycle. Subscription fees are charged in advance and are non-refundable for the current billing period.
  • Late Payments: Invoices not paid within 15 days of the due date may result in suspension of services until the balance is settled.

All prices are quoted in US Dollars (USD) unless otherwise specified. Applicable taxes are the responsibility of the client.

5. Intellectual Property

Ownership of work product is allocated as follows:

  • Client Content: You retain full ownership of all content, images, text, logos, and branding materials you provide to us. You grant us a limited license to use this content solely for the purpose of delivering the agreed services.
  • AptoCode Tools and Code: We retain ownership of our proprietary tools, frameworks, libraries, and reusable code components that were developed independently of your project. This includes (but is not limited to) our design systems, AI modules, and internal utilities.
  • Custom Deliverables: Upon full payment, you receive a non-exclusive, perpetual license to use the custom code and designs created specifically for your project. We may retain the right to showcase the work in our portfolio unless otherwise agreed in writing.

6. Acceptable Use

You agree not to use our services to:

  • Violate any applicable law or regulation.
  • Infringe on the intellectual property rights of others.
  • Distribute malware, spam, or any harmful content.
  • Attempt to gain unauthorized access to our systems or other users' accounts.
  • Engage in any activity that disrupts or interferes with our services.

7. Limitation of Liability

To the maximum extent permitted by law:

  • AptoCode provides its services "as is" and "as available" without warranties of any kind, whether express or implied.
  • We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services.
  • Our total liability for any claim related to our services shall not exceed the amount you paid to AptoCode in the twelve (12) months preceding the claim.
  • We are not responsible for any loss of data, revenue, or business opportunities resulting from service interruptions, third-party failures, or circumstances beyond our reasonable control.

8. Termination

Either party may terminate the service relationship as follows:

  • By You: You may cancel your subscription or discontinue services at any time by providing written notice. Cancellations take effect at the end of the current billing period.
  • By Us: We may suspend or terminate your access if you breach these Terms, fail to make timely payments, or engage in conduct that harms our business or other users. We will make reasonable efforts to notify you before termination.

Upon termination, we will provide you with a reasonable period to retrieve your data and content. After that period, we may delete your data from our systems.

9. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Texas, United States of America, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of our services shall be resolved in the courts located in Bexar County, Texas.

10. Indemnification

You agree to indemnify and hold harmless Aptocode LLC, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of our services, your violation of these Terms, or your infringement of any third-party rights.

11. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page. Your continued use of our services after changes are posted constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
